Terms & Conditions

The agreement

These terms cover the work BuddyDevs does for you. When you accept a quote, sign a proposal, or pay a deposit, you are agreeing to them. If your own contract or purchase order says something different, the signed document wins — tell us early and we will read it properly rather than fight over which paperwork came first.

Nothing here replaces the specific scope, price and dates written into your quote. That document is the detail; this one is the frame around it.

Scope and change

Every engagement starts from a written scope. It lists what we are building, what you are supplying, and when. Work outside that list is not refused — it is re-quoted.

Changes. When you ask for something beyond the agreed scope, we write a short change note with the price and the effect on the launch date, and we wait for you to approve it before starting. There are no surprise line items at the end of a project.

Your side of it. Projects run to time when content, feedback and access arrive when promised. If they slip, dates move — we will say so in writing rather than quietly absorb it and miss the launch.

Fees and payment

Fixed-scope work is billed 40% to start, 30% at design sign-off, and 30% at launch. Retainers are billed monthly in advance. Everything is net 14 from the invoice date, in USD, exclusive of tax.

Late payment past 30 days pauses active work and accrues interest at 1.5% per month. We will always email before pausing anything — no site is ever taken offline over an invoice.

Deposits are non-refundable once work has started, because they reserve team time we then cannot sell to anyone else.

Timelines

Dates in a quote assume feedback within five working days at each review point and a single decision-maker who can sign off. We build the schedule around your availability, not around an ideal client who does not exist.

If a project goes quiet on your side for more than 30 days, we may close it out and invoice for work completed. Restarting later is welcome, at the rates current at that time.

Ownership and licence

What you own. On final payment, every deliverable we made for you is yours outright — code, designs, source files, and the content we produced. It lives in your repository and your hosting account from day one.

What we keep. We retain ownership of our own pre-existing tools, libraries and internal boilerplate, and grant you a permanent, unrestricted licence to keep using them in the delivered work. This exists so you are never dependent on us, and never blocked from hiring someone else.

Third-party licences. Plugins, fonts, stock imagery and paid services are licensed to you, not to us. We will tell you the cost before buying anything on your behalf.

Showing the work

We would like to show your project in our portfolio and case studies once it is live. If you would rather we did not, say so and we will not — no negotiation, no discount attached to it.

Anything you have marked confidential stays out of our portfolio, our writing and our conversations regardless.

Warranty and support

Every build includes two weeks of active monitoring after launch. Anything that does not work the way the agreed scope says it should is fixed in that window at no cost.

That warranty does not cover new features, changes you or a third party make to the code, failures at your host or in a third-party service, or breakage caused by plugin and platform updates after handover. Those are ordinary paid work, and a care plan is the cheap way to cover them.

Liability

We take the work seriously and we carry the responsibility that goes with it. What we cannot accept is unlimited exposure: our total liability for any claim is capped at the fees you paid us for the engagement it relates to.

We are not liable for indirect or consequential losses — lost profit, lost data, lost revenue — and we are not responsible for the uptime of services we do not control, such as your host, your payment provider, or a third-party API.

You are responsible for the content you give us to publish, including having the right to use it.

Ending an engagement

Either side can end a project in writing. You pay for work completed to that point, we hand over everything produced, and there is no exit fee or withheld-file negotiation.

Retainers run month to month with 30 days notice on either side.

General

These terms are governed by the laws of the jurisdiction in which BuddyDevs is registered, and both sides agree to attempt a conversation before anything formal.

If one clause turns out to be unenforceable, the rest stand. We may update these terms for future engagements; the version you agreed to at the time of your quote is the one that applies to your project.

Questions about anything on this page go to info@buddydevs.com — we would rather explain a clause now than argue about it later.

These terms sit alongside our privacy policy, which covers what we do with your data.
